Prompt Fast & Build Things — Confidential Access Terms
1. Purpose. This deck is shared solely for evaluating a potential collaboration, co-hosting arrangement, sponsorship discussion, strategic partnership, or related business conversation concerning Prompt Fast & Build Things.
2. Confidential information. Confidential information includes the show concept, format, structure, segments, brand positioning, website materials, production approach, sponsor strategy, pricing concepts, growth plans, guest strategy, business model, financial ideas, partnership pipeline, and other non-public information made available through this deck or related discussions.
3. Confidentiality. You agree to keep the information strictly confidential, not disclose it to any third party without prior written consent, and use it only to evaluate a potential relationship with PF&BT.
4. Non-use. You agree not to use the confidential information to develop, launch, support, advise on, or materially contribute to any competing podcast, live show, media brand, content series, or related property that is substantially similar in concept or format to PF&BT.
5. Non-circumvent. For twelve (12) months from access, you agree not to directly approach sponsors, partners, guests, or business opportunities specifically introduced through these discussions for the purpose of replicating or competing with PF&BT.
6. Exclusions. These obligations do not apply to information that is public through no breach, lawfully received from another source without restriction, independently developed without use of PF&BT confidential information, or required to be disclosed by law.
7. Ownership. All confidential information and related intellectual property remain the sole property of Jesper Lindquist and PF&BT.
8. Term. These confidentiality obligations apply from the moment of access and continue for two (2) years.
9. Remedies. Unauthorised use or disclosure may cause irreparable harm, and injunctive or equitable relief may be sought in addition to other remedies.
10. Governing law. These terms are governed by the laws of Hong Kong SAR.
